Terms of Service

These Terms of Service govern access to this website and the purchase or use of photo editing, image enhancement, portrait retouching, photo composition refinement, and photo collection organization services provided by Pixelnest Photo.

1. Acceptance of terms

By using this website, submitting an inquiry, approving a quote, paying an invoice, transferring project files, or requesting that work begin, the client agrees to these Terms of Service together with any written quote, scope, invoice, project note, or policy incorporated into the transaction. If a written project document directly conflicts with these general terms, the specifically agreed project document controls only for that conflict.

2. Nature of the services

Services are creative and technical editing services applied to existing photographs and image collections. They may include correction of brightness, contrast, color balance, clarity, small visual distractions, portrait details, crop, horizon, perspective, aspect ratio, file naming, folder structure, and output preparation.

The services do not include photography sessions, physical product photography, stock image licensing, copyright registration, copyright enforcement, printing, framing, physical delivery, operation of a photo distribution platform, legal advice, or guaranteed restoration of missing source detail.

3. Quotes and project scope

A quote is based on the information and sample files available at the time it is prepared. Final pricing may depend on file count, source quality, complexity, requested turnaround, number of outputs, organization requirements, and revision expectations. A quote is not binding until accepted within its stated validity period and any required payment has been received.

Work outside the accepted scope may require a revised quote, additional payment, or a new schedule. Examples include additional files, advanced reconstruction, substantial object removal, extensive background replacement, new aspect ratios, repeated direction changes, or requests that materially differ from the approved edit.

4. Client responsibilities

The client is responsible for:

  • providing lawful access to usable source files and any necessary permissions;
  • describing the intended use and requested outcome accurately;
  • identifying required dimensions, file types, deadlines, and technical specifications before work begins;
  • reviewing proofs and deliveries carefully;
  • providing consolidated, specific feedback within the requested review period;
  • maintaining backups of original and delivered files;
  • notifying us promptly of corrupted links, missing files, or material delivery problems;
  • ensuring the edited content is used lawfully and in accordance with third-party rights.

5. Source file limitations

Results depend on the quality, resolution, compression, lighting, focus, dynamic range, and content of the source file. Editing cannot reliably recreate detail that was never captured, fully correct extreme blur, recover all clipped highlights or shadows, or guarantee print quality from a low-resolution source. Any examples or preliminary assessments are estimates, not guarantees of an identical result.

6. Payments

Prices and payment timing are stated in the applicable quote or invoice. A deposit or full payment may be required before scheduling begins. Unless otherwise agreed, payment must be made in the stated currency and through an approved payment method. The client is responsible for bank, conversion, intermediary, or platform fees charged by the client's provider.

Work may be paused when payment is overdue. Final high-resolution files may be withheld until the agreed amount has cleared. Administrative records may be retained as required for accounting and legal purposes.

7. Revisions

The included revision allowance, if any, is stated in the quote or project description. A revision means a reasonable adjustment to the accepted editing direction. A revision does not include a new creative direction, replacement source files, additional images, substantial reconstruction, or repeated changes after a prior approval.

Feedback should be consolidated into one clear message and should identify the file and requested change. Additional revision rounds may be quoted separately. Color appearance can vary between displays, browsers, printers, papers, and environments; revisions cannot guarantee identical appearance on every device or output system.

8. Turnaround and scheduling

Estimated turnaround begins after all required source files, instructions, approvals, and payments are received. Dates may change when files arrive late, instructions are incomplete, feedback is delayed, scope changes, or technical problems affect access to project materials. Expedited work is subject to availability and may require an additional fee.

9. Delivery and acceptance

Files are delivered through the method stated for the project. The client must review the delivery within the stated review period or, if no period is stated, within seven calendar days. The client should report missing files, inaccessible links, export errors, or material deviations from the approved scope during that period.

Minor subjective preferences that were not included in the scope are not delivery defects. If no material issue is reported within the review period, the delivery may be treated as accepted for project administration purposes.

10. Prohibited requests and use

We may refuse or stop work involving unlawful content, infringement, fraud, harassment, impersonation, non-consensual intimate imagery, exploitation, forged records, deceptive identity documents, or other content that creates material legal, ethical, or safety concerns. Services may not be used to misrepresent a person, event, product, document, or transaction in a manner intended to deceive.

11. Ownership and permissions

The client retains ownership of rights the client lawfully holds in source content. The client grants a limited permission to receive, store, process, edit, and deliver the files solely for the project and related administration. Ownership of final edited files is addressed in the Client Content & Intellectual Property Policy and any project-specific agreement.

12. Confidentiality

Reasonable care is used when handling non-public project files and instructions. Confidential treatment does not apply to information that is already public, independently developed, lawfully received from another source, or required to be disclosed by law. A separate confidentiality agreement must be requested and accepted in writing before files are submitted if the project requires special terms.

13. Disclaimer of warranties

Services are provided on a commercially reasonable, professional-effort basis. Except where prohibited by law, no warranty is made that every subjective preference will be satisfied, that every source defect can be corrected, that third-party platforms will display files identically, or that a specific commercial, publication, printing, or audience result will occur.

14. Limitation of liability

To the fullest extent permitted by law, Pixelnest Photo is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profit, loss of opportunity, loss of reputation, or loss of data arising from the website or services. The client remains responsible for backups and final use decisions.

To the fullest extent permitted by law, total liability relating to a specific project will not exceed the amount actually paid for that project. This limitation does not apply where the law does not permit the relevant exclusion or limitation.

15. Indemnity

The client agrees to be responsible for claims, losses, or expenses arising from client-provided content, unlawful instructions, lack of required permission, infringement of third-party rights, or use of delivered files outside the agreed or lawful purpose, except to the extent caused by our own violation of applicable law or written agreement.

16. Suspension and termination

We may suspend or terminate work for nonpayment, abusive conduct, unlawful requests, repeated failure to provide required information, security concerns, or material breach of these terms. The client may cancel subject to the Cancellation & Refund Policy. Amounts already earned for completed work, reserved time, nonrecoverable costs, or approved milestones remain payable.

17. Governing principles and disputes

The parties should first attempt to resolve a concern through direct written communication describing the project, issue, and requested resolution. These terms are governed by applicable law in the jurisdiction connected with the business address, without overriding mandatory consumer rights that may apply in another jurisdiction.

18. Changes and severability

These terms may be updated prospectively. If a provision is found unenforceable, the remaining provisions continue to the extent permitted. A failure to enforce a provision once does not waive the right to enforce it later.
